Applebee’s deal brings quarterly loss

Breakfast chain loses $11.6M on expenses from pending acquisition

? The breakfast chain IHOP Corp. on Tuesday said it swung to a third-quarter loss on expenses for its pending acquisition of Applebee’s.

The news drove shares down $1.35, or 2.1 percent, to close at $62.18 in trading Tuesday.

For the three months ending Sept. 30, the Glendale, Calif.-based chain reporting losing $11.6 million, or 69 cents per share, compared with a profit of $11.3 million, or 62 cents per share, during the same period a year ago.

The results included $35.6 million in one-time expenses from an interest-rate swap transaction related to IHOP’s pending acquisition of Applebee’s International Inc. Excluding the expense, net income fell 3.2 percent to 60 cents per share.

Analysts polled by Thomson Financial, who typically exclude nonrecurring expenses, expected a profit of 68 cents per share.

Revenue rose 4 percent from $88 million a year ago to $91.4 million, missing analysts’ predictions of $93.2 million.

Sales for stores open at a least a year, a key measure of retail health, increased 2 percent on higher menu prices and fewer customers.

“We believe this is especially positive considering the difficult economic environment and increased competition,” Chief Executive Officer Julia Stewart said during a conference call.

Shareholders for Overland Park, Kan.-based Applebee’s are scheduled to vote Oct. 30 on whether to sell the company for $1.9 billion in cash, or about $25.50 a share. IHOP also would assume $155 million in Applebee’s debt.

During the conference call, Stewart told analysts the company still plans to refranchise all of Applebee’s company-owned stores except for one market. If shareholders approve the deal, Stewart said it expects to close the deal by Nov. 29.

While the company hasn’t issued financial guidance because of the pending acquisition, IHOP said it still expects same-store sales to increase 2 percent to 4 percent this year and to add 61 to 66 new franchised restaurants.

“We remain optimistic about the continued solid performance of our core business for the balance of the year,” Stewart said, adding the company will roll out a national advertising campaign in coming weeks. “We’re confident that will bode well for us on the top line.”
