Koch’s G-P purchase gets Canadian OK

Koch Industries Inc. said Thursday it received clearance from Canada’s antitrust watchdog for its proposed tender offer for Georgia-Pacific Corp., removing a regulatory hurdle in its proposed $13.2 billion acquisition of the forest products company.

The advance ruling from the Canadian Competition Bureau satisfies the condition in the tender offer related to Canadian competition law approval, Koch said. The tender offer is still subject to other closing conditions described in the original offer.

Earlier this month, Wichita-based Koch said it would make a $48 per share cash tender offer for Georgia-Pacific and assume $7.8 billion of its debt, in a deal that would create the nation’s biggest private company by sales. At that time, Koch – already one of the nation’s biggest private companies – said its proposed offer was subject to antitrust clearances in various countries and other conditions.

Georgia-Pacific shares rose 8 cents to close Friday at $47.27 on the New York Stock Exchange.
